Terms of Service

Welcome to Pawinée, operated by Thailand Wedding App Co., Ltd. (a Jifu LLC company). These Terms of Service ("Terms") govern your access to and use of the Pawinée website at Pawinée.com, our wedding planning platform, mobile application, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. These Terms constitute a legally binding agreement between you and Thailand Wedding App Co., Ltd.

1. Acceptance of Terms

By creating an account, accessing the platform, submitting an inquiry, or using any feature of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms referenced herein.

If you are using the Service on behalf of a couple, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Description of Service

Pawinée provides a digital wedding planning platform that includes, but is not limited to:

• Creation of a personalized wedding app for your event
• Live guest photo and video feed functionality
• Combined live streaming from multiple guest devices
• Menu and beverage ordering with dietary preference tagging
• Memory Vault for media storage and archival
• Vendor discovery, booking, and coordination services
• RSVP and guest management tools
• Multi-language support (Thai, English, Chinese, Japanese, and others)

Pawinée acts as a technology platform and intermediary. We facilitate connections between couples and vendors but are not a party to any separate agreement between couples and vendors unless expressly stated otherwise.

3. User Accounts and Registration

To access certain features of the Service, you may be required to create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information as needed
• Keep your login credentials confidential and not share them with unauthorized persons
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or provide false information.

4. Vendor Booking Terms

Pawinée enables couples to discover, communicate with, and book wedding vendors (including but not limited to photographers, caterers, florists, venues, musicians, and planners).

• Vendor Listings: Vendor profiles, portfolios, pricing, and availability are provided by the vendors themselves. Pawinée does not warrant the accuracy of vendor-provided information.
• Booking Contracts: When you book a vendor through our platform, a separate contractual relationship is formed directly between you and the vendor. Pawinée is not a party to this contract unless expressly stated.
• Vendor Vetting: While we may perform basic verification, we do not guarantee the quality, reliability, or performance of any vendor. We encourage users to conduct their own due diligence.
• Disputes: Any disputes between couples and vendors must be resolved directly between the parties. Pawinée may, at its sole discretion, assist in facilitating communication but assumes no liability for vendor performance or non-performance.

5. User Responsibilities

As a user of the Service, you agree to:

• Use the Service only for lawful purposes and in accordance with these Terms
• Not upload, share, or distribute content that is illegal, obscene, defamatory, threatening, harassing, or infringes on the rights of others
• Not attempt to gain unauthorized access to any part of the Service, other user accounts, or our systems
• Not use any automated means (bots, scrapers, spiders) to access or collect data from the Service without our express written permission
• Not interfere with or disrupt the integrity or performance of the Service
• Not impersonate any person or entity or misrepresent your affiliation with any person or entity
• Comply with all applicable local, national, and international laws in Thailand and your jurisdiction
• Obtain all necessary consents from your wedding guests before uploading their images, videos, or personal information to the platform

6. Payment Terms

Certain features of the Service require payment. The following terms apply to all paid services:

• Pricing: All prices are displayed in United States Dollars (USD) or Thai Baht (THB) as selected. Prices are exclusive of applicable taxes unless stated otherwise.
• Payment Methods: We accept major credit cards, debit cards, and other payment methods as indicated on the pricing page. Payment is processed securely through our third-party payment processors.
• Subscription Plans: Service plans (Starter, Premium, Ultimate) are one-time payments for a single wedding event, not recurring subscriptions, unless otherwise specified.
• Memory Vault Subscriptions: Extended media storage subscriptions ($29/year or $79 lifetime) are recurring subscriptions that auto-renew unless cancelled before the renewal date.
• Vendor Fees: Vendors may be charged listing fees, commission, or subscription fees as separately agreed in vendor service agreements.
• Taxes: You are responsible for all applicable taxes, including VAT, GST, and withholding taxes as required by Thai law and your local jurisdiction.

7. Cancellation and Refund Policy

7.1 Couple Plan Cancellations

• Cancellations made more than 14 days before the wedding date: full refund minus a 10% processing fee.
• Cancellations made between 7-14 days before the wedding date: 50% refund.
• Cancellations made less than 7 days before the wedding date: no refund.
• Refunds are processed within 14 business days to the original payment method.

7.2 Memory Vault Subscriptions

• You may cancel your subscription at any time. Access to the Vault continues until the end of the current billing period.
• No partial refunds for unused portions of a subscription period.

7.3 Vendor Service Cancellations

• Cancellation of vendor-specific services is governed by the individual contract between you and the vendor. Pawinée is not responsible for vendor refunds or cancellation policies.

8. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, images, audio clips, software, and the selection and arrangement thereof — are owned by Thailand Wedding App Co., Ltd., its licensors, or other providers and are protected by Thai and international copyright, trademark, and other intellectual property laws.

License to User Content: By uploading photos, videos, text, or other content to the Service, you grant Pawinée a non-exclusive, royalty-free, worldwide license to use, store, display, and distribute your content solely for the purpose of operating and providing the Service. You retain all ownership rights to your content.

The "Pawinée," "พาวิเน่," and related names, logos, and designs are trademarks of Thailand Wedding App Co., Ltd. You may not use these marks without prior written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT:

• The Service will be uninterrupted, timely, secure, or error-free
• Any errors or defects will be corrected
• The Service is free of viruses or other harmful components
• The results obtained from using the Service will meet your expectations
• Any vendor listed on our platform will perform services to any particular standard

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THAILAND WEDDING APP CO., LTD. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, use, or goodwill
• Service interruption or computer damage
• Cost of procurement of substitute services
• Damages arising from vendor performance or non-performance
• Any claims arising from user-generated content

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify, defend, and hold harmless Thailand Wedding App Co., Ltd., its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

• Your use of the Service in violation of these Terms
• Your violation of any applicable law or regulation
• Your content uploaded to the Service
• Your interaction with vendors or other users through the platform

12. Termination

We may terminate or suspend your account and access to the Service at any time, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

Upon termination:

• Your right to use the Service immediately ceases
• We may retain your data as required by law or as needed for legitimate business purposes
• Sections 8 (Intellectual Property), 9 (Disclaimer), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Governing Law) shall survive termination

You may terminate your account at any time by contacting us. Refunds, if applicable, will be processed according to Section 7.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiations. If the dispute cannot be resolved within 30 days, it shall be submitted to mediation at the Thailand Arbitration Center (THAC) in Bangkok. If mediation fails, the dispute shall be finally settled by arbitration in Bangkok, Thailand, in accordance with the Arbitration Act B.E. 2545 (2002) of Thailand.

Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights or confidential information.

14. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemic, internet service provider failures, or telecommunications failures.

15. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms incorporated by reference, constitute the entire agreement between you and Thailand Wedding App Co., Ltd. regarding your use of the Service, superseding any prior agreements or understandings.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting the updated Terms to the Service. We will notify you of material changes by:

• Posting a notice on the Pawinée website
• Sending an email to the address associated with your account (if applicable)
• Updating the "Last Updated" date at the top of these Terms

Your continued use of the Service after any changes constitutes acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service.
